Acceptance of Terms
By accessing and using the services provided by techadvisorix AG ("Company," "we," "our," or "us"), you ("Client," "you," or "your") agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and techadvisorix AG.
If you do not agree to these Terms, you must not access or use our services. By using our medical billing services, website, or any related services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

Description of Services
techadvisorix provides comprehensive medical billing and revenue cycle management services to healthcare practices across Europe. Our services include, but are not limited to:

- • Revenue cycle management
- • Compliance monitoring and auditing
- • Practice management solutions
- • Analytics and reporting services
- • Customer support and consultation
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with appropriate notice to affected clients.
Client Responsibilities and Obligations
As a client of techadvisorix, you agree to the following responsibilities and obligations:
Data and Information Provision
- • Provide accurate, complete, and timely information necessary for billing services
- • Ensure all patient data and medical information is properly authorised for processing
- • Maintain proper documentation and records as required by applicable regulations
- • Notify us promptly of any changes to your practice or billing requirements
Compliance and Legal Requirements
- • Maintain all necessary licences and certifications for your medical practice
- • Comply with all applicable healthcare regulations and data protection laws
- • Ensure proper patient consent for billing and data processing activities
- • Cooperate with any compliance audits or regulatory enquiries
Payment and Financial Obligations
- • Pay all fees and charges in accordance with the agreed payment terms
- • Provide accurate banking and payment information
- • Notify us of any billing disputes within 30 days of invoice receipt
- • Maintain adequate professional liability insurance
Payment Terms and Billing
Payment for our services is typically based on a percentage of collections as specified in your service agreement. Additional terms include:
- • Fees are calculated and invoiced monthly based on actual collections
- • Payment is due within 30 days of invoice date unless otherwise specified
- • Late payments may incur interest charges at the rate of 1.5% per month
- • All fees are exclusive of applicable taxes, which are your responsibility
- • Setup fees, if applicable, are due upon contract execution
Intellectual Property
All intellectual property rights in our services, software, systems, processes, and documentation remain the exclusive property of techadvisorix or our licensors. This includes:
- • Proprietary billing software and systems
- • Business processes and methodologies
- • Reports, analytics, and dashboard tools
- • Training materials and documentation
- • Trademarks, logos, and brand materials
You are granted a limited, non-exclusive, non-transferable licence to use our services and related materials solely for your internal business purposes during the term of our agreement.
You retain ownership of your patient data and practice information, whilst granting us the necessary rights to process this information in the provision of our services.
Confidentiality and Data Protection
We are committed to maintaining the confidentiality and security of all client information. Our obligations include:
- • Implementing appropriate technical and organisational security measures
- • Limiting access to client data to authorised personnel only
- • Complying with all applicable data protection regulations, including GDPR
- • Providing data processing agreements as required by law
- • Notifying you promptly of any data security incidents

Limitation of Liability
To the maximum extent permitted by law, techadvisorix's liability to you for any claims arising out of or relating to our services shall be limited as follows:
Monetary Limitations
Our total liability for any and all claims shall not exceed the total fees paid by you to techadvisorix in the twelve (12) months preceding the event giving rise to the claim.
Excluded Damages
In no event shall techadvisorix be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, regardless of the theory of liability.
Exceptions
Nothing in these Terms shall limit our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be limited by law.
Indemnification
You agree to indemnify, defend, and hold harmless techadvisorix, its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- • Your breach of these Terms or any applicable laws
- • Your negligent acts or omissions in the provision of medical services
- • Any inaccurate or incomplete information you provide to us
- • Claims related to patient care or medical malpractice
- • Unauthorised use of our services or systems
Governing Law
These Terms shall be governed by and construed in accordance with the laws of Germany. Any disputes arising out of or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Leipzig, Germany.
For clients located in other European Union member states, nothing in this clause shall deprive you of the protection afforded by provisions that cannot be derogated from by agreement under the law of your habitual residence.
We will attempt to resolve any disputes through good faith negotiations before pursuing formal legal proceedings.
Termination
Either party may terminate the service agreement with appropriate notice as specified in your individual service contract. Termination provisions include:
Termination for Convenience
Either party may terminate the agreement for any reason with ninety (90) days written notice, unless otherwise specified in your service agreement.
Termination for Cause
Either party may terminate immediately upon written notice if the other party materially breaches these Terms and fails to cure such breach within thirty (30) days of written notice.
Effect of Termination
Upon termination, we will assist with the transition of billing services and return of your data in accordance with applicable regulations and our data retention policies. All outstanding fees remain due and payable.
General Provisions
Entire Agreement
These Terms, together with your individual service agreement and any applicable addenda, constitute the entire agreement between the parties and supersede all prior understandings and agreements.
Modifications
We may modify these Terms from time to time by posting updated terms on our website. Material changes will be communicated to you with at least thirty (30) days notice.
Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Force Majeure
Neither party shall be liable for any delay or failure to perform due to circumstances beyond its reasonable control, including natural disasters, government actions, or technical failures.
